Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Teclaz’s products, websites, and services (collectively, the “Services”). By using the Services, you agree to these Terms. If you do not agree, do not use the Services. If you are accepting these Terms on behalf of an organization, you represent that you have authority to bind that organization.

1. Changes to Terms

We may update these Terms from time to time by posting the revised version on this page and updating the “Last updated” date above. Changes become effective upon posting. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

2. Eligibility & Accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us promptly of any unauthorized access or use.

3. Use of the Services

Subject to these Terms, Teclaz grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. We may modify or discontinue features at any time. You are responsible for your hardware, software, and internet connection.

The Services may be designated as “Beta,” “Preview,” or “Soft Launch” features. You acknowledge that such versions are provided for testing and evaluation purposes and may contain bugs, errors, or incomplete functionality. Teclaz does not guarantee availability, performance, or data integrity for Beta features.

4. Acceptable Use

You agree not to: (a) use the Services for any unlawful, infringing, or harmful purpose; (b) attempt to gain unauthorized access to the Services or related systems; (c) interfere with or disrupt the integrity or performance of the Services; (d) reverse engineer, decompile, or attempt to derive source code from the Services except to the extent such restrictions are prohibited by law; (e) send spam or engage in abusive data collection; or (f) use the Services in violation of applicable laws and regulations.

5. User Data & Privacy

You retain ownership of data you submit to or collect via the Services (“User Data”). You grant Teclaz a non-exclusive, worldwide, royalty-free license to host, process, transmit, and display User Data as reasonably necessary to provide, maintain, protect, and improve the Services, and to prevent or address service or technical issues. You represent that you have obtained all necessary rights and consents to submit User Data and that your use complies with applicable law.

You are solely responsible for maintaining independent backups of your User Data. Teclaz is not responsible for loss, corruption, or deletion of User Data, including as a result of system updates, maintenance, migrations, or Service interruptions.

Our Privacy Policy explains how we collect, use, and safeguard information. To the extent required by law or contract, a data processing addendum may be made available upon request.

6. Fees & Billing

If you purchase paid features or subscriptions, you agree to pay the applicable fees and taxes. Unless stated otherwise, subscriptions renew automatically for the same term at the then-current price. You may cancel renewal before the next billing cycle in accordance with your plan’s terms. We may change prices upon notice, which will apply to the next renewal term.

7. Third-Party Services

The Services may interoperate with or link to third-party products or services. Teclaz does not control and is not responsible for third-party content, policies, or practices. Your use of third-party services is subject to their terms and privacy policies.

8. Intellectual Property

Teclaz and its licensors retain all rights, title, and interest in and to the Services, including software, documentation, logos, and trademarks. Except for the limited rights expressly granted in these Terms, no other rights are granted by implication or otherwise.

If you provide Teclaz with feedback, suggestions, or ideas regarding the Services (“Feedback”), you grant Teclaz a perpetual, irrevocable, worldwide, royalty-free right to use, modify, incorporate, and commercialize such Feedback without compensation or attribution to you.

9. Suspension & Termination

We may suspend or terminate your access to the Services immediately if you breach these Terms, if required by law, or to address security risks. Upon termination, your license to use the Services ends. Sections intended to survive (e.g., intellectual property, disclaimers, limitations, and governing law) will survive termination.

10. Disclaimers & Limitation of Liability

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, TECLAZ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TECLAZ DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TECLAZ WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. TECLAZ’S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT PAID BY YOU TO TECLAZ FOR THE SERVICES DURING THE ONE (1) MONTH PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Georgia, USA, without regard to its conflicts of laws principles. You agree to the exclusive jurisdiction and venue of the courts located in Fulton County, Georgia (or, if agreed, binding arbitration administered by a recognized provider), and you waive any objections to jurisdiction or venue in those courts.
